These Terms and Conditions (“Terms”) govern your use of the Kiwibuyers platform as a vendor (“Vendor”) offering products or services for sale. By registering as a Vendor and listing products on the Kiwibuyers website (“Platform”), you agree to be bound by these Terms.
Agreement
These Terms form a legally binding agreement between Kiwibuyers and you, the Vendor. By accessing or using the Platform, you confirm that you have read, understood, and agree to comply with these Terms.
Vendor Eligibility and Compliance
- Vendors must operate a legally registered business in New Zealand or be otherwise legally authorized to trade.
- Vendors must comply with all applicable laws, including the Fair Trading Act 1986, Consumer Guarantees Act 1993, and any product safety or eCommerce-related regulations.
- Vendors are responsible for ensuring all required licenses, permits, and registrations are up to date.
Product Listings
- All listings must be accurate, complete, and not false or misleading.
- Products must not infringe any third-party rightsor include prohibited, counterfeit, or unsafe goods.
- Vendors must update or remove listings that are out of stock, discontinued, or inaccurately priced.
Vendor Responsibilities
- Vendors are responsible for:
- Fulfilling orders accurately and within the promised delivery timeframe.
- Providing clear return, refund, and warranty policies.
- Handling customer service issues professionally and promptly.
- Vendors must not engage in fraudulent, deceptive, or unethical practices.
Fees and Payments
- Kiwibuyers may charge listing fees, commission on sales, or other service charges as outlined in the Vendor Pricing Schedule.
- Vendors agree to pay any applicable fees on timein accordance with the invoicing terms.
- Kiwibuyers reserves the right to withhold payouts or suspend listings for non-payment or breach of these Terms.
Shipping, Returns & Refunds
- Vendors are responsible for setting clear shipping terms, including costs, timeframes, and eligible regions.
- Vendors must comply with New Zealand consumer laws regarding returns, refunds, and defective goods.
- Any disputes regarding delivery or product condition are the responsibility of the Vendor to resolve with the customer.
Platform Use and Conduct
- Vendors agree not to:
- Use the Platform for illegal purposes.
- Attempt to interfere with the security, operation, or integrity of the Platform.
- Collect or misuse customer data in breach of the Privacy Act 2020.
Limitation of Liability and Disclaimer
- Kiwibuyers is a marketplace platform and does not guarantee the legality, safety, or quality of Vendor products.
- Vendors and customers enter into transactions at their own risk.
- Kiwibuyers is not liablefor any direct, indirect, or consequential losses arising from Vendor sales, product issues, or disputes.
- Vendors agree to indemnify Kiwibuyers against any claims or damages arising from their listings, sales, or conduct.
Suspension and Termination
- Kiwibuyers may suspend or remove Vendor accounts or listings for:
- Breach of these Terms
- Repeated customer complaints
- Unlawful or unethical conduct
- Vendors may close their account by providing written notice. All outstanding fees or obligations must be settled prior to termination.
Governing Law
These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of New Zealand courts.
Buyer and Seller Responsibilities
11.1 Seller Responsibilities
Sellers (Vendors) using the Kiwibuyers platform must:
- Ensure all product listings are accurate, lawful, and not misleading.
- Fulfill orders promptly, securely, and as described in the listing.
- Provide transparent return, refund, and warranty policies in line with New Zealand consumer law.
- Respond to buyer inquiries and disputes professionally and in good faith.
- Ensure that products meet applicable safety and compliance standards.
Not engage in fraudulent, unethical, or deceptive practices.
11.2 Buyer Responsibilities
Buyers using the Kiwibuyers platform agree to:
- Review product listings carefullybefore purchasing and reach out to Sellers with any questions.
- Make payments only through approved and secure payment channels.
- Retain documentation(invoices, communication) in case of dispute.
- Use the platform in a lawful, honest, and respectful
- Communicate promptly with Sellers to resolve issues before escalating complaints.
Amendments
Kiwibuyers may amend these Terms from time to time by providing reasonable notice. Continued use of the Platform after any changes constitutes acceptance of the revised Terms.
Kiwibuyers Platform Disclaimer
- Kiwibuyers is a marketplace platform only.We do not own, sell, inspect, or guarantee any of the products listed by Sellers on the platform.
- Transactions are conducted directly between Buyers and Sellers.Kiwibuyers is not a party to any sale contract and does not mediate delivery, quality assurance, or returns.
- Kiwibuyers does not guarantee:
- The accuracyor legality of Seller listings.
- The quality, fitness, or safetyof any product.
- That Sellers will perform their obligations or that Buyers will fulfill payment and acceptance terms.
- All users interact with the platform at their own risk.
- Kiwibuyers will not be held liable for:
- Losses, damages, or disputes arising from any transaction.
- Delays, misrepresentations, or failed deliveries by Sellers.
- Any breach of consumer laws by individual Sellers.
Sellers and Buyers agree to indemnify and hold harmless Kiwibuyers, its employees, and affiliates from any claims, losses, or legal action resulting from their use of the platform.
